After completing payment, GT Setu automatically generates a Mutual Non-Disclosure Agreement between your company and your collaboration partner. This document is created on your behalf — you do not need to draft or source it yourself.
What is a Mutual NDA?
A Mutual Non-Disclosure Agreement is a legally binding contract between two companies. It establishes that any confidential business information shared between the two parties on the GT Setu platform must be kept private and cannot be disclosed to any third party.
The NDA is mutual — it protects both companies equally. Whatever you share with your partner is protected, and whatever they share with you is also protected under the same agreement.
Why GT Setu Generates it Automatically
When two companies decide to collaborate, they need a legal framework before sharing sensitive information — business plans, financial data, product specifications, pricing, client lists, and so on. Traditionally, drafting an NDA takes time and often requires a lawyer.
GT Setu removes this friction by auto-generating the NDA the moment both parties confirm their collaboration. This means you are legally protected from the very first moment of your collaboration — before any information is shared.
What the NDA Covers
The auto-generated NDA covers confidential information exchanged through the GT Setu platform only. It specifically excludes communications made outside the platform — verbal conversations, emails sent directly between parties, meetings, or any other off-platform interactions are not governed by this NDA.
Confidential Information as defined in the NDA includes, but is not limited to:
- Business strategies and financial information
- Sales and marketing proposals
- Trade secrets and product know-how
- Customer technical requirements
- Software, algorithms, and programming techniques
- Supplier, customer, and employee information
- Research, forecasts, and intellectual property
Key Sections of the NDA
Party A Initially shown as “[Hidden until both parties accept].” This is the other company’s full legal name and registered details. This information is only revealed once both companies have completed payment — in line with GT Setu’s privacy protection policy.
Party B Your company’s full legal name and registered address, auto-filled from your account registration data.
The WHEREAS Clause This section establishes the context — that both parties agree to exchange information solely through the GT Setu platform for the purpose of evaluating a business collaboration, and that such information is considered confidential.
Confidentiality Obligations (Section 1) This is the core protection clause. It states that:
- Neither company may disclose the other’s confidential information to any third party
- Each party must protect the other’s information with the same care they would apply to their own confidential data
- Information may only be shared with employees or advisors who genuinely need it for the collaboration and who are bound by their own confidentiality obligations
Downloading the NDA
Before signing, you can download a copy of the NDA for your records or for review by your legal team. Click the Download PDF button at the top right of the NDA screen to save it to your device.
How to Sign the NDA
- Read the full NDA document on screen. Scroll through to the end.
- If you want a copy first, click Download PDF at the top right.
- Once you are ready, click the Accept or Sign button at the bottom of the document.
- Your digital acceptance is recorded by the platform.
- A notification banner appears at the top of the screen: “NDA Accepted — Your acceptance has been recorded. Waiting for the other party.”
Waiting for the Other Party
After you sign, the platform waits for the other company to also review and sign the NDA.
During this waiting period:
- The Collaborations section will show “No active collaborations yet” — this is normal and expected.
- The collaboration is not considered active until both parties have signed.
- The other company has the same 14-day window to sign.
Once the other company signs, both parties will receive a notification and the collaboration will move to Stage 4: ACTIVE. The Collaborations section will update to show the now-active collaboration with full company details revealed.
What Happens if the NDA is Not Signed
If either party does not sign the NDA within the 14-day collaboration window:
- The collaboration expires.
- The paying party’s 14 credits are automatically refunded.
- The collaboration is removed from the active pipeline.
