The NDA tab in the Collaboration Workspace contains the Mutual Non-Disclosure Agreement that GTsetu automatically generates once both parties have completed payment. This agreement establishes the legal framework for confidential information exchanged between the two companies through the platform.
What Is a Mutual NDA?
A Mutual Non-Disclosure Agreement (Mutual NDA) is a legally binding contract in which both parties agree to keep each other’s confidential information private. Unlike a one-way NDA — where only one party discloses — a mutual NDA places equal obligations on both companies.
This means:
- Both companies are bound by the same confidentiality standards
- Either company may disclose information to the other
- Both are equally obligated to protect what they receive
How the NDA Is Generated
GTsetu auto-generates the NDA as soon as both parties complete their credit payments. No manual drafting, external legal tools, or additional steps are required. The agreement is pre-filled using the official registered details of both companies as entered on their GTsetu profiles.
What the NDA Contains
The auto-generated Mutual NDA includes the following key elements:
Parties The full legal names and registered addresses of both companies are inserted automatically. These are drawn directly from each company’s profile.
Effective Date The agreement becomes effective as of the last date either party accepts it — ensuring both sides are bound from the moment the collaboration formally begins.
Scope of Confidential Information The NDA covers all information exchanged through the GTsetu platform, including business strategy, finances, quotes, concepts, sales and marketing proposals, designs, data, trade secrets, intellectual property, software, technology, customer information, and related business information.
Exclusion Clause The NDA explicitly states that information exchanged outside the GTsetu platform — such as through email, phone calls, meetings, or any other medium — is not covered by this agreement. Only information disclosed through the platform falls within its scope.
Confidentiality Obligations Recipients must not disclose the other party’s confidential information to any third party, nor use it for any purpose other than evaluating or executing the collaboration.

Important Limitations to Note
- The NDA covers only information shared through the GTsetu platform
- Any confidential discussions, documents, or information exchanged outside the platform are not protected by this agreement
- If your collaboration requires a broader or more customised NDA, you should consult your legal team and execute a separate agreement outside of GTsetu
